1. Introduction

Welcome to BuildYourWeb! These Terms and Conditions ("Terms") govern the use of our services, including the sale and development of websites. By purchasing our services, you agree to these Terms, so please read them carefully.

2. Definitions

  • "Company," "we," "us," "our" refers to BuildYourWeb LLC.

  • "Client," "you," "your" refers to the individual or entity purchasing services from BuildYourWeb.

  • "Services" refers to the web design, development, and related services provided by BuildYourWeb.

  • "Agreement" refers to the contract between BuildYourWeb and the Client, which includes these Terms and any other agreements or statements of work.

3. Services

BuildYourWeb offers custom web design, development, and related services as specified in the Agreement. All services are provided based on the specifications and requirements agreed upon between the Client and BuildYourWeb.

4. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information necessary for the completion of the Services.

  • Respond promptly to requests for information or feedback.

  • Review and approve deliverables within the specified timeframes.

5. Payment Terms

  • The Client agrees to pay the fees specified in the Agreement.

  • Payments are due according to the schedule outlined in the Agreement. Failure to pay on time may result in suspension of Services.

  • All fees are non-refundable unless otherwise stated in the Agreement.

6. Intellectual Property

  • BuildYourWeb retains ownership of all intellectual property rights in the designs, code, and other materials created by BuildYourWeb until full payment is received.

  • Upon full payment, the Client is granted a non-exclusive, perpetual license to use the deliverables for their intended purpose.

  • The Client agrees not to resell, redistribute, or otherwise use the deliverables in a manner not specified in the Agreement without BuildYourWeb's consent.

7. Revisions and Approvals

  • The Agreement includes a specified number of revisions. Additional revisions beyond this number may incur additional charges.

  • The Client is responsible for reviewing and approving all deliverables. Approval must be given in writing (including email).

  • Any changes requested after approval will be considered additional work and may result in additional fees.

8. Warranties and Disclaimers

  • BuildYourWeb warrants that the Services will be performed in a professional manner consistent with industry standards.

  • BuildYourWeb does not warrant that the deliverables will be error-free, meet the Client’s specific requirements, or be compatible with all browsers or devices.

  • Except as expressly stated in the Agreement, all Services are provided "as is," and BuildYourWeb disclaims all other warranties, express or implied.

9. Limitation of Liability

  • BuildYourWeb's total liability to the Client for any claim arising out of or relating to the Services is limited to the amount paid by the Client to BuildYourWeb for those Services.

  • In no event shall BuildYourWeb be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the Services, even if advised of the possibility of such damages.

10. Termination

  • Either party may terminate the Agreement for cause if the other party breaches a material term and fails to cure the breach within 14 days of receiving written notice.

  • BuildYourWeb may terminate the Agreement immediately if the Client fails to make payments as required.

  • Upon termination, all outstanding payments become immediately due, and the Client must cease using any deliverables not fully paid for.

11. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of the Agreement. This obligation shall survive the termination of the Agreement.

12. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to them shall be governed by the laws of Germany, without regard to its conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the courts located in Germany.

13. Changes to Terms

BuildYourWeb reserves the right to update or modify these Terms at any time. Clients will be notified of any significant changes. Continued use of our services after such changes constitutes acceptance of the new Terms.

14. Entire Agreement

These Terms, together with the Agreement, constitute the entire agreement between the Client and BuildYourWeb regarding the Services and supersede any prior agreements or understandings.
